  • Formal Engagement Required: A formal professional consulting relationship is established exclusively upon the complete execution of a separate, written Master Services Agreement (MSA) or Statement of Work (SOW) signed by authorized representatives of both you and Diagnetix.

3. Submissions, Confidentiality & Unsolicited IP Warning
You agree to use the contact forms, inquiry fields, and interactive features on the Site solely for lawful and legitimate professional inquiries.

  • Unsolicited Confidential Information Warning: Please do NOT submit confidential, proprietary, trade secret, or sensitive business information, proprietary source code, or unpatented product ideas through the public inquiry forms or general contact emails on this Site. Unsolicited submissions sent via the Site are not treated as confidential or proprietary.
  • Prior Written NDA Required: Diagnetix accepts no obligation of confidentiality or non-use regarding information submitted prior to the execution of a formal, written Non-Disclosure Agreement (NDA) or Master Services Agreement (MSA) signed by both parties. Any feedback, ideas, suggestions, or technical materials submitted via the Site shall become the property of Diagnetix, and we reserve the right to use them without restriction or compensation to you.

4. User Conduct & Prohibited Activities
You agree to use the Site in compliance with all applicable local, state, federal, and international laws. Specifically, you agree not to:

DIAGNETIX DOES NOT WARRANT THAT CODE SAMPLES, SYSTEM DESIGNS, OR TECHNICAL RECOMMENDATIONS FEATURED ON THE SITE ARE SECURE, COMPLETE, FREE OF ERRORS, OR SUITABLE FOR YOUR SPECIFIC PRODUCTION SYSTEM ARCHITECTURE. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, DIAGNETIX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SITE WILL OPERATE UNINTERRUPTED, SECURELY, OR ERROR-FREE.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DIAGNETIX, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES—INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOSS OF DATA, SYSTEM OUTAGES, BUSINESS INTERRUPTION, OR COMPUTER FAILURE—ARISING FROM OR RELATED TO YOUR USE OF, INABILITY TO USE, OR RELIANCE UPON THE SITE OR ANY CONTENT THEREIN.
DIAGNETIX’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE USE OF THE SITE SHALL BE LIMITED TO AND NOT EXCEED $100.00 USD (OR THE MINIMUM AMOUNT PERMITTED BY APPLICABLE LAW).
10. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without giving effect to any principles of conflicts of law. You agree that any legal suit, action, or proceeding arising out of or related to these Terms or the Site shall be instituted exclusively in the state or federal courts located in North Carolina, and you hereby consent and submit to the personal jurisdiction and venue of such courts.
11. Severability & Waiver
If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be severed or limited to the minimum extent necessary, and the remaining provisions shall continue in full force and effect. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
12. Entire Agreement
These Terms, together with our Privacy Policy, constitute the complete and exclusive agreement between you and Diagnetix regarding your use and access of the Site, superseding all prior oral or written agreements, understandings, or communications regarding the Site.
